Item 5. Other Events and Regulation FD Disclosure On April 28, 2004, Revlon Consumer Products Corporation ("Products Corporation"), a wholly-owned subsidiary of Revlon, Inc., announced that it intends to offer approximately $400 million in aggregate principal amount of senior unsecured notes due 2011 in a private placement. The senior notes will be guaranteed by certain of Products Corporation's current and future domestic subsidiaries on a senior unsecured basis. Products Corporation also expects to enter into a new amended and restated credit agreement, which will replace its existing credit agreement. Products Corporation expects to consummate the notes offering and replace its existing credit agreement in May 2004, subject to market conditions and other customary conditions.
